On 15th February, Genius Group held its February Investor Meeting live online via YouTube.  You can watch the replay here but here are some of the key takeaways:

Mission & Market

Roger shared that our mission is to develop an entrepreneur education system that prepares students for the 21st century.  We believe that the current global education system is in need of a more relevant, upgraded, student-centered curriculum that is both high-tech and high-touch.  We believe that such a curriculum can be a force for good.

As Nelson Mandela said, “Education is the most powerful weapon which you can use to change the world.” 

Today, we believe that it is the entrepreneurs of the world who have the greatest power to trigger change. We see Genius Group as the global community where the entrepreneur movement meets.

By the end of 2023 we plan to have between 5.7 and 6 million students, each experiencing their own personal lifelong learning path.  This community will be guided and mentored by over 12,500 partners in 200 countries around the world.

The entrepreneurial curriculum we are creating doesn't just benefit our students and partners, but all our stakeholders, including parents, schools, colleges, companies and governments - all who believe an education revolution is both timely and necessary.

In 2023, we are expecting to continue our strong growth trajectory, and we are focused on managing our costs and achieving positive EBITDA.

Students and Users: 5.7m - 6.0m
Revenue: $48m - $52m
Adjusted EBITDA: $0.5m - $1.0m

Curriculum 2023

Roger reiterated that whilst we’re launching our Curriculum now, it will continue to evolve.  We believe it’s important to upgrade the curriculum on an annual basis to keep it up to date and relevant.  

We are dividing our entire learning community into a metaversity of four student campuses (with community members and mentors) and a partner portal:

• Entrepreneur Campus (for Entrepreneurial Skills)
• School Campus (to High School level)
• University Campus (for our Degree programs)
• Investor Campus (for Investment skills)

The partner portal is giving all the tools for our educators and partners to deliver all of the teaching into the campuses

We are also offering a “Freemium” model where people can try before they buy.  So they have the opportunity to learn for free and only commit to a program or specific mentor if and when they know that it’s a good fit for them and will help accelerate their learning.

We are in a unique position as we can bring down the cost of education, still be profitable as a business and we can extend this education to people in the world who otherwise wouldn’t be able to access it or afford it.

AI & Metaversity Plans

Roger shared our GeniusU Metalearning Vision:

Personalised AI Genie - we are one of the first in the world doing this as we’re using Salesforce’s Einstein AI and linking it with GPT-3 and GPT-4 enabling us to personalise our students’ experience and pathways based on their interests, passions and purpose. It will also enable educators to develop pesonalised and updated content and curriculum.

An Interactive AR Layer via our metaversity where you can create your own avatars and connect with others around the world.

An Immersive Learning experience with live programmes.

Integrated earning with blockchain-based Genie Gems.

Predictive Metaverse - making sure we’re at the forefront of edtech offering technology that predicts and guides people to the next step in their learning pathway.
 

Illegal Trading Task Force

Roger shared that a lot has happened since announcing the Illegal Trading Task Force. This is an overview of our best thinking today:

1. We’re advancing to the next stage of the legal process and explore legal action against anyone reasonably believed to be involved or suspected of being involved in any type of market manipulation relating to the Company’s ordinary shares.
    
2. We had a shareholder vote for a share repurchase mandate. The EGM was held on 16 February 2023.
    
3. We had a shareholder vote for a share consolidation. The EGM was held on 16 February 2023.
    
4. We have started the application process to dual list our shares on Upstream.
    
5. Issuance of $10 Blockchain-based Digital Discount Coupon per ordinary share to all shareholders.

EGM

The EGM was held on 16 February.  At the meeting, shareholders voted for and passed the following resolutions:

• The Company Board has approval to execute a share repurchase mandate at such time that they may choose within the next 12 months.
• The Company Board has approval to execute a share consolidation at such time that they may choose within the next 12 months.

ERL Spinoff Plan

As previously shared publicly, Genius Group announced a plan approved by the Board for the spinoff of subsidiary Entrepreneur Resorts Ltd to create shareholder value.

Entrepreneur Resorts Ltd is the world’s leading group of entrepreneur resorts and beach clubs, where entrepreneurs co-work, co-learn, co-live and co-give in paradise locations around the world.  They include: Vision Villa Resort and Genius Cafe Sanur in Bali; Genius Central in Singapore; and Tau Game Lodge and Matla Game Lodge in South Africa.  Each of these have been hand-picked by Roger himself and many of our programs and events are held in these locations.

The entire process of the spin off is estimated to take 3 to 4 months, indicating an estimated timing of a record date in late Q2 2023. However, the precise date may be earlier or later depending on the speed of the restructuring and approval process. We’ll give updates along the way.

Upstream Dual Listing

Upstream is a revolutionary trading app for digital securities and NFTs powered by Horizon Fintex ("Horizon”) and MERJ Exchange Limited (“MERJ”).

Rationale:  The planned dual listing on Upstream is designed to provide the opportunity to access a global, digital-first investor base. Through this dual listing, Genius Group can then issue NFT digital coupons to all our  investors.

Timeline: An application to dual list has been submitted. Approval to be listed on Upstream is subject to approval by MERJ. However as a current NYSE issuer and MERJ Issuer, Genius Group may be eligible for an expedited listing process, and anticipates approval within the month of February 2023.

$10-Per-Share NFT

Shareholders that hold GNS shares on 28th February 2023 will be eligible to receive an NFT coupon equal to $10 for every share owned in GNS.

Following GNS’ dual listing approval on Upstream Exchange MERJ, the coupon will be issued to shareholders on 15th March 2023.

Shareholders can then redeem their NFT for GEMs on GeniusU, which can be used as discounts on courses and products across its four campuses and partner portal.

Genius Group Shareholders Approve Share Buyback and Share Consolidation

Genius Group held an Extraordinary General Meeting on February 16, 2023. At the meeting, shareholders voted for and passed the following resolutions:

-  The Company Board has approval to execute a share repurchase mandate at such time that they may choose within the next 12 months.
-  The Company Board has approval to execute a share consolidation at such time that they may choose within the next 12 months.

Roger Hamilton, CEO of Genius Group, said “The Board thanks Genius Group’s shareholders for empowering Genius Group with additional mechanisms that the Company can use to protect shareholders and enhance shareholder value. At this immediate time, we have not set any timeline for the share buyback and share consolidation. We plan to monitor and assess the situation regularly to action them at the appropriate time.”

Genius Group Releases Lifelong Learning Prospectus and full 2023 Entrepreneur Curriculum

Genius Group released its Lifelong Learning Prospectus for ages 0-100 years old, and its full 2023 Entrepreneur Curriculum at its February Virtual Investor Meeting. Highlights of the Prospectus and Curriculum include:
-  Four Campuses on GeniusU, each with personalized student pathways: School Campus, University Campus, Entrepreneur Campus, Investor Campus.
-  A Partner Portal for faculty and community partners to build their global classrooms and student pathways on GeniusU with GeniusU’s AI Educator Suite.
-  GEMs discounts across all four campuses for Genius Group Investors on 15th March 2023, who qualify for $10-per-share NFT Coupons that can be redeemed for GEMs.
-  Programs for parents of children from 0-7 years old including ‘Young Genius’ programs and Angel Guide Certification for parents and teachers.
-  Genius School programs for 6-18 years old including ‘Teen Dynamics’ quizzes to identify talents, passions and purpose, and the Young Entrepreneur Academy.
-  Genius University programs, offered at University of Antelope Valley, from vocational certifications to an MBA with world class speakers. University of Antelope Valley is accredited by WSCUC, an accrediting body recognized by the U.S. Department of Education.
-  Entrepreneur Campus programs from Entrepreneur Dynamics assessments through to Genius Entrepreneur Metaversity and Digital Entrepreneur MBA.
-  Investor Campus programs in shares, property and cryptocurrencies, from Investor Dynamics and Genius Investor Metaversity to the Digital Investor MBA.
-  Entrepreneur Educator Certification from Genius Guide through to Masters in Education- offered at University of Antelope Valley. Financial aid is available for those who qualify at University of Antelope Valley.
-  Community Partner pathway from City Hosts and Leaders to Country Partners and Translation Partners, to host high-touch, high-tech meet ups and summits globally.

The full prospectus was released and previewed at the Virtual Investor Meeting and will be officially launched at the Lifelong Learning Summit on March 2-3, 2023, with an expected 20,000 partners and students attending.
